Contentious clauses

- 7.2 – what is the purpose of co-CEO? If you are ill, we might need someone to run the business with you.
- 8.1 – this appears to suggest that suspension can happen without any reason or notice. How do I persuade the CEO to accept this claus?Doesn't affect your pay. Common to have powers to suspend - if somebody is disciplinary action.
- 13.8 – we do a medical examination?Standard clause. This is just an option. If the employee is swinging a 'sickness'
- 19.2 – can you pay by installments? You can pay by installments. Employee has an obligation to look for another job and he has to tell you. Then, you don't have to pay any monthly installments.
- 21.3 – how does Garden Leave work?Garden leave is when you want someone to work their notice period but be restricted in what they do.
- 24.6 – what is the point of telling us about a start date when he can’t work elsewhere for a 12 month period?He can inform you and if it is breach, you can see him in court.
- 25.2 – why would a CEO agree to this?Standard. If he has something valuable, he should be able to offer it to you.
- 25.3 – why would they agree to release their inventions to the company for “first refusal”?Standard, leave it in and see what happens.
- 22.4 – looks onerous to pay costs? It is expensive to hire a CEO. So we have to cover this costs + recruitment costs.
General notes
- 20.1.1 – if the employee is sick and cannot do the work for 45 aggregate days, he should go.
- 20.1.2 – does this mean that I don’t have to do performance management? No, you still have to do performance management.
- 24.1.1 – why only 3 months? 3M is only for not working for any competitor. Anything above this will be deemed unreasonable bycourts.
- Clause 1 - had all kinds of onerous checks. We removed them.
Add clause saying that we get HMRC’s blessing to split the bonus payment.
